NON DISCLOSURE In order to view or download the Confidential Business Plan from Digital Directions International Inc. I agree to the following: 1. I (We) recognize and acknowledge that theinformation relating to the business of Digital Directions Inc. in general and its business in particular hereafter furnished to us or obtained by us from Digital Directions International Inc., contains confidential and proprietary information and data possessed, owned or used by Digital Directions International Inc.. All such information relating to the business of Digital Directions Inc. in general and its e-learning business inparticular, including without limitation, financial, marketing and research information and data, shall remain and be deemed to be the property of DigitalDirections International Inc.. 2. I (We) agree that neither we nor any of our officers, directors, employees or agents shall at any time, withoutthe prior written consent of Digital Directions Inc., communicate, divulge or use for our benefit or the benefit of any other person, firm, corporation, or other entity, including any parent corporation, subsidiary or other affiliatedcompany, any information or data relating to the business of Digital Directions International Inc. obtained by us from Digital Directions International Inc., except as required by law; provided, however, that any such information or data may be disclosed to the officers, employees and representatives whom we determine need to know such information or data for the purpose of evaluating the technical services arrangement contemplated by the current or future negotiations. 3. Without your written consent, we will not,and will take all reasonably necessary steps to ensure that our officers, employers and representatives do not, disclose to any third party that discussions or negotiations are taking place, or the conditions of or otherfacts surrounding any possible business arrangment between our companies,including the status thereof except as required by law, in which event we willpromptly notify you in writing. 4. In the event that the business relationship contemplated by the negotiations mentioned above shall not be consummated, neither we nor any person or entity, including any parent corporation, subsidiary or other affiliated company and all agents, representatives or employees of this company and any affiliated company, shall use any of thenonpublic information or documentation now or hereafter received or obtained from Digital Directions International Inc. in furtherance of our business of anyone else,including any affiliated company, unless such information has become public other than as a result of acts by us.
